By using this website or engaging Flow State Automation (“we”, “us”) to provide services, you agree to these Terms.

Use of Site

Content is provided “as is” without warranties of any kind.
You will not misuse the site or attempt to disrupt its operation.

Proposals, SOWs, and Payments

Services are defined in proposals or statements of work (SOWs).
Fees, billing schedule, and deliverables are set out in the SOW.
Late payments may pause work until balances are resolved.

Client Responsibilities

Provide timely access to systems, data, and stakeholders.
Maintain licenses and third-party accounts needed for integrations.
Review and approve deliverables within agreed timeframes.

Intellectual Property

Pre-existing IP of each party remains that party’s property.
Upon full payment, you receive a license to use deliverables in your business.

Confidentiality & Data

Both parties will protect confidential information and limit use to the project.
We handle personal data according to our Privacy Policy.

Warranties & Disclaimers

Services are provided with reasonable skill and care.
We disclaim all other warranties to the fullest extent permitted by law.

Limitation of Liability

To the maximum extent permitted by law, neither party is liable for indirect or consequential damages. Our aggregate liability is limited to fees paid for the services giving rise to the claim.

Termination

Either party may terminate for material breach not cured within 10 days.
Upon termination, accrued fees remain payable; licenses for delivered work remain as set out above.

General

Governing law and venue are specified in the SOW unless otherwise agreed.
If any provision is unenforceable, the rest remain in effect.
These Terms may be updated; new versions apply prospectively.

These Terms are governed by the laws of Ontario, Canada. Any disputes will be resolved in the courts located in Ottawa, Ontario.
